Terms of Service

These Terms of Service ("Terms") govern access to and use of Marcy ("Marcy," the "Application," or the "Service"), an internal reporting application operated by Podiums Direct ("Podiums Direct," "we," "us," or "our"). By accessing or using the Application, you agree to these Terms. If you do not agree, do not use the Application.
1. Internal use only
Marcy is proprietary software built for the internal business operations of Podiums Direct. It is not a commercial product, is not offered for sale or subscription, and is not available for public registration. Access is granted only to Podiums Direct employees, contractors, and other personnel expressly authorized by us ("Authorized Users"). Nothing in these Terms grants any right of access to any other person or entity.
2. Purpose of the Service
Marcy retrieves advertising performance data from Google Ads accounts owned or managed by Podiums Direct and compiles that data into internal reports, dashboards, and alerts. The Service is provided for informational and operational reporting purposes only.
3. Accounts and credentials
Authorized Users are responsible for maintaining the confidentiality of their login credentials and any authorization tokens issued in connection with the Application, and for all activity that occurs under their access. Credentials may not be shared. You must notify us promptly at support@podiumsdirect.com if you believe your credentials or account have been compromised.
4. Acceptable use
When using the Application, you agree not to:
- Use the Service for any purpose other than the internal business purposes of Podiums Direct;
- Access, or attempt to access, any Google Ads account or data that Podiums Direct does not own or is not authorized to manage;
- Copy, export, disclose, or transfer data obtained through the Service to any third party except as required for legitimate business purposes and permitted by our policies;
- Reverse engineer, decompile, or attempt to derive the source code of the Application, except to the extent this restriction is prohibited by applicable law;
- Interfere with, disrupt, or place undue load on the Application or the systems and networks it connects to;
- Circumvent any access control, rate limit, authentication mechanism, or security measure; or
- Use the Service in violation of any applicable law or regulation, or in violation of the terms, policies, or usage limits of any third-party service the Application relies upon, including the Google Ads API Terms and Conditions and applicable Google policies.
5. Third-party services
The Application depends on third-party services, principally the Google Ads API. Use of the Application is also subject to the terms and policies that govern those services. We are not responsible for the availability, accuracy, or performance of third-party services, and changes to those services may affect or interrupt the Application without notice.
6. Data and privacy
Our handling of data accessed and stored by the Application, including data obtained through Google APIs, is described in our Privacy Policy, which is incorporated into these Terms by reference.
7. Intellectual property
The Application, including its source code, design, and documentation, and all associated intellectual property rights, are and remain the exclusive property of Podiums Direct. These Terms do not transfer any ownership interest. Advertising data retrieved from Google Ads remains subject to the rights of its respective owners.
8. Availability and modifications
We may modify, suspend, restrict, or discontinue the Application, in whole or in part, at any time and without notice or liability. We may also revoke any Authorized User's access at any time, including on termination of employment or engagement, or where we believe these Terms have been violated.
9. Disclaimer of warranties
The Application is provided "as is" and "as available," without warranty of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Application will be uninterrupted, secure, or error-free, or that reports, metrics, or alerts it produces will be accurate, complete, or current. Reports generated by the Application are aids to decision-making and should not be treated as the authoritative record of advertising performance; the underlying platform data controls.
10. Limitation of liability
To the maximum extent permitted by applicable law, Podiums Direct will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, business, or goodwill, arising out of or related to the Application or these Terms, whether based in contract, tort, or any other theory of liability, and whether or not we have been advised of the possibility of such damages.
11. Changes to these Terms
We may revise these Terms from time to time. The revised version takes effect when posted on this page, and the "Last updated" date above will be changed accordingly. Continued use of the Application after a revision constitutes acceptance of the revised Terms.
12. Governing law
These Terms are governed by the laws of the United States and of the state in which Podiums Direct maintains its principal place of business, without regard to conflict-of-law principles.
